Terms and Conditions

Welcome to Lums! These Terms and Conditions (“Terms”) govern your access to and use of the Lums website at https://lu.ms (the “Website”) and the social media scheduling services provided by Lums (collectively, the “Service”). Lums is a tool designed to help users schedule and cross-post content to multiple social media platforms from a single interface.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you are prohibited from using the Service.

1. Scope and Acceptance

1.1 These Terms apply to all contracts and interactions between Lums (“we”, “us” or “our”) and you as our customer (“Customer”, “you” or “your”). Use of the Service is contingent upon your acceptance of these Terms.

1.2 The version of the Terms in effect at the time you enter into a contract with us (e.g., by creating an account or subscribing to a paid plan) shall govern your use of the Service.

1.3 We do not accept any differing terms or conditions you may propose unless explicitly agreed to in writing by Lums.

2. Description of the Service

2.1 Lums provides an online platform for scheduling and posting content to social media platforms, accessible through the Website and any associated mobile applications (collectively, the “Service”). The Service enables you to manage and cross-post content to authorized social media accounts.

2.2 While we strive to provide a reliable and effective platform, we do not guarantee that the Service will meet your specific requirements or expectations, or that it will be uninterrupted or error-free.

3. Account Registration and Responsibilities

3.1 To use the Service, you must create a personal user account (“Account”) by providing your name, email address, and, where applicable, access to social media accounts for cross-posting functionality.

3.2 You are responsible for:

  • Providing accurate, current, and complete information during registration and keeping your Account details up to date.
  • Maintaining the confidentiality of your Account credentials and preventing unauthorized access.
  • All activities and content posted under your Account, including any consequences arising from such activities.

3.3 You must notify us immediately at ram@mauryaratan.me if you suspect unauthorized use of your Account.

3.4 The Service, including any paid features, is intended for users who are at least 18 years old. If you are under 18, you are prohibited from using the Service.

3.5 You agree not to:

  • Use or attempt to use another person’s Account or access their data.
  • Create an Account using false or misleading information.
  • Access the Service through unauthorized methods or interfaces not provided by Lums.
  • Use the Service in violation of applicable laws, regulations, or third-party rights.
  • Transmit unsolicited advertising, spam, or other promotional materials through the Service.
  • Interfere with or disrupt the proper functioning of the Service, including through hacking, malware, or other malicious activities.
  • Use the Service in a manner that restricts or inhibits others’ use or enjoyment of the Service.

4. Third-Party Platform Integration

4.1 The Service integrates with third-party social media platforms (“e.g., YouTube, Facebook”) to enable content scheduling and posting. By connecting your social media accounts, you agree to comply with the terms of service of those platforms, including, but not limited to:

  • YouTube Terms of Service (https://www.youtube.com/t/terms) for YouTube API usage.
  • Other applicable platform terms as specified during account connection.

4.2 You may revoke Lums’ access to your social media accounts at any time through the respective platform’s settings or by contacting us.

5. Pricing and Payment

5.1 Certain features of the Service may require a subscription or one-time payment (“Paid Services”). The pricing for Paid Services (“Price”) is displayed on the Website or within the Service at the time of purchase.

5.2 The Price includes applicable taxes (e.g., VAT) unless otherwise stated. Any additional duties or taxes are your responsibility.

5.3 Payments may be processed via credit card or other methods as specified on the Website. We reserve the right to modify available payment options at any time.

5.4 Invoices will be sent to the email address associated with your Account.

5.5 If payment for Paid Services is not received in full, we may suspend or limit access to certain features of your Account until a valid payment is made.

6. Subscription Renewal and Cancellation

6.1 Paid Services subject to recurring payments will automatically renew at the end of each billing period (e.g., monthly or annually) unless canceled. The renewal date will be the day immediately following the end of your current subscription period.

6.2 Your payment method will be charged for renewals unless updated or canceled prior to the renewal date. If we are unable to process a renewal payment, access to Paid Services may be suspended per Section 5.5.

6.3 You may cancel your subscription to Paid Services at any time through the Account settings on the Website or by contacting us at ram@mauryaratan.me. Upon cancellation, you will retain access to Paid Services until the end of the current paid term, after which your Account may revert to a free plan (if available).

7. Refund Policy

7.1 We offer a full refund for Paid Services within 24 hours of purchase, provided no significant use of the Service (e.g., scheduling or posting content) has occurred. To request a refund, contact us at ram@mauryaratan.me.

7.2 Refunds requested after 24 hours or for periods following significant use are at our discretion and subject to applicable law.

8. Termination and Suspension

8.1 By You: You may terminate your Account at any time through the Account settings or by emailing ram@mauryaratan.me. Upon termination, access to the Service and your content will be unavailable, and we may permanently delete your data after 30 days, except for data synchronized with third-party platforms.

8.2 By Us: We may terminate your Account or the contractual relationship with two weeks’ notice via email to the address associated with your Account. For Paid Services, termination will take effect at the end of the current paid term.

8.3 We may suspend or terminate your Account immediately, without notice, if you breach these Terms, including but not limited to violations of Section 3.5 or non-payment of fees.

8.4 Upon suspension, you will not have access to the Service, and no fees will be charged for Paid Services during the suspension period caused by our enforcement of this section.

8.5 Statutory rights to terminate for cause remain unaffected.

8.6 If you wish to export your data before termination, contact us within 30 days of termination at ram@mauryaratan.me.

9. Intellectual Property and Content Ownership

9.1 The Service, including the Website, software, design, logos, and other materials, is protected by copyright, trademark, and other intellectual property laws. We grant you a non-exclusive, non-transferable, revocable license to access and use the Service for personal or business purposes in accordance with these Terms.

9.2 You retain ownership of the content you create or upload to the Service (“Your Content”). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and transmit Your Content solely to provide the Service (e.g., to post content to your authorized social media accounts).

9.3 You may not reproduce, modify, distribute, or otherwise use the Service or its materials (e.g., logos, images, or code) for any purpose without our prior written consent, except as permitted by these Terms.

10. Limitation of Liability

10.1 To the fullest extent permitted by law, Lums shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising from:

  • Your use or inability to use the Service.
  • Unauthorized access to or alteration of your data.
  • Errors, interruptions, or delays in the Service.
  • Conduct or content of third parties, including linked websites or social media platforms.
  • Any other matter related to the Service or these Terms, whether based on contract, tort, negligence, or other legal theory.

10.2 The Service may link to third-party websites or services (e.g., social media platforms) not controlled by Lums. We are not responsible for the content, policies, or practices of such third parties and do not endorse their offerings.

10.3 Mandatory liability under applicable laws (e.g., for gross negligence or willful misconduct) remains unaffected by these limitations.

11. Data Protection

11.1 We process your data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable. For details on how we collect, use, and protect your data, please refer to our Privacy Policy at https://lu.ms/privacy.

12. Feedback and Error Reporting

12.1 You may provide feedback, suggestions, or reports of errors related to the Service (“Feedback”) via ram@mauryaratan.me or through the Service’s interface.

12.2 By submitting Feedback, you agree that:

  • You grant us a non-exclusive, worldwide, royalty-free license to use, modify, and incorporate Feedback into the Service without compensation.
  • Feedback does not contain confidential or proprietary information.
  • We are not obligated to act on or maintain confidentiality regarding Feedback.

13. Modifications to the Terms

13.1 We may revise these Terms at any time to reflect changes in our practices, legal requirements, or the Service. The updated Terms will be posted on the Website with a revised “Last Updated” date.

13.2 For material changes that affect your rights, we will notify you at least four weeks in advance via email or a notice on the Website. You may terminate your use of the Service with immediate effect if you do not agree to the changes. Continued use after the changes take effect constitutes your acceptance of the revised Terms.

13.3 If you object to the revised Terms, we reserve the right to terminate your Account per Section 8.

14. Governing Law and Jurisdiction

14.1 These Terms are governed by and construed in accordance with the laws of the United States, specifically the State of California, without regard to its conflict of law principles.

14.2 Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, California.
